The FreelancerCafe.com web site is presented to you conditioned on your acceptance of the terms and conditions contained herein. FreelancerCafe.com may alter these terms and conditions without notice, effective immediately, by updating this posting. Your use of the FreelancerCafe.com web site confirms your acceptance to all such terms, conditions and restrictions. In the event a member violate or else fails to comply with any provision of these Terms and Conditions then in addition to any other remedy available to FreelancerCafe, FreelancerCafe may terminate the membership of such member in the service and/or may withhold any payments relating to participation in the service due to such member from FreelancerCafe.com.


 

MEMBERS ENTITLEMENT

 

FreelancerCafe.com reserves the right to whether or not accepts a particular applicant or site for participation in the service. FreelancerCafe.com's web site is available only to individuals who can form legally binding contracts under applicable law.


 

MEBERSHIP TERMINATION

 

FreelancerCafe.com reserves the right to terminate the participation of any member or site without reason but significantly including any member site that FreelancerCafe.com judges to be in violation of the Terms and Conditions. Members in violation of FreelancerCafe.com's Terms and Conditions will be instantly deactivated. FreelancerCafe.com may deactivate members with no prior notification. Members found in violation of the Terms and Conditions will not receive any credit or payment from FreelancerCafe.com. Members that are terminated by FreelancerCafe.com on any basis other than violation of these Terms and Conditions will be entitled to receive any payment due from FreelancerCafe.com.


 

DESCRIPTION OF SERVICES

 

FreelancerCafe.com offers a wide range of tools, products, services, and other resources on its FreelancerCafe.com web site targeting the interests of freelancers. These services are for use only under a non-transferable, non-assignable and non-exclusive license under these terms and conditions of use. You do not have the right to copy, sell, or exploit the services or content for any commercial purpose.
Some of the services at FreelancerCafe.com may include reviews of the members concerning this service and/or articles with original content and opinions. The usage of this content or links to this content is at the member's own risk. Member understands and agrees to the following:

REFERRAL COMMISSIONS

 

The details of the referral commission paid out will be the one listed on the Referrals page. You may not refer yourself, nor sign up for multiple accounts to collect referral fees. You may also not partner with any other FreelancerCafe.com user to share/transfer the commission made from your own account, or else both parties will be expelled from the service without payment. FreelancerCafe.com reserves the right to pause or cancel sending affiliate earnings if we believe the referred user will not pay the fees they were charged, because the base of the affiliate commissions are those fees.
PAYMENTS

FreelancerCafe.com will make withdrawals through the services listed on "withdraw money" link in member's areas if the member requests it AND their account balance is equal to or greater than $30. All amounts are stated in and all payments will be made in US funds. FreelancerCafe.com reserves the right to suspend a withdrawal if the source of the funds is suspected to be fraudulent. Any funds received from an account having made a fraudulent deposit (e.g. stolen creditcard) will be reversed instantly. If in a fraudulent payment situation a withdrawal has already been processed, you will be expected to return the funds to your FreelancerCafe.com account or your membership account will be terminated.

As already mentioned, any member that FreelancerCafe.com terminates due to violation of the Terms and Conditions will not receive any credit or payment.


 

PROVIDING CONTACT INFORMATION

 

Members are prohibited from making direct contact with other member and to post their e-mail address directly on the site, unless you are picked for a project or the service buyer is picked by you. Only place to provide direct e-mail is in the "e-mail" field of the signup form, or when asked by FreelancerCafe.com at any other time. There should be no need to give anyone your e-mail address. It is automatically provided to both parties when any service buyer chooses any freelancer for his/her project, and before that time you can use the message board to communicate. This applies to e-mail addresses along with all other methods of communications, including phone, ICQ, AIM, all sort of Messengers, skype etc... See "Avoiding Commissions" below for the reason.
You have the liberty to post direct contact info only in case of "Featured" projects. If a project has the "Featured" graphic on it, that means the Service Buyer has paid a flat fee in advance, and you are allowed to provide contact information in the message board.


 

AVOIDING COMMISSIONS

 

Members are strictly prohibited from attempting to negotiate the project price with other member directly or in directly (outside of FreelancerCafe.com) after that project has been created/opened and before that project has been closed (basically, during an ongoing project). But this also applies to any project that was closed without a selection of any freelance Service Provider, and then contacting them about the project anyway. Both parties are responsible for notifying FreelancerCafe.com if the payment amount increases (higher than the bid amount) after the project is closed. Receiving a larger amount than the actual price quoted in the bid, without notifying us, will be considered as an attempt to avoid the commissions. When a Freelance Service Provider requests a withdrawal, we always analyze all payments received for each project to verify that they are according to the bids. If at the time of a withdrawal request the freelance Service Provider has failed to notify FreelancerCafe.com staff of a payment received more than the amount of his/her bid (a total payment above US$100), FreelancerCafe.com reserves the right to deduct double the fee for the amount that should have been reported. We believe our commissions are very reasonable and justified for the service we provide, therefore we will extremely not bear any of this activity on FreelancerCafe.com.


 

COPYRIGHTS PROTECTION

 

Postings of any copyrighted material is no allowed on FreelancerCafe.com. This includes scripts which are to be sold by the author. Only posting sections, or pieces of these scripts, as examples, will be permitted. A "section" or "pieces" should not be more than 10% of the script's original contents. This is meant to protect the author's intellectual property rights.


 

USER CONTENT

 

Member is solely responsible for content or any other information member provides to FreelancerCafe.com. Member understands and agrees to the following:
FreelancerCafe.com is only acting as a place for the online distribution and publication of User content. However, no warranties as to the actual distribution or publication of User content are made or implied. FreelancerCafe.com has the right (but no obligation) to take any action considered appropriate concerning User content if it is believed that such content may create legal responsibility for FreelancerCafe.com, damage our business operation or reputation, or cause FreelancerCafe.com to lose the services of our suppliers.
User represents and guarantees that User's content: (a) will not violate or misappropriate any copyright, patent, trademark, trade secret, or other intellectual property right or proprietary right or right of publicity or privacy; (b) will not violate any law or regulation; (c) will not be offensive or trade libelous; (d) will not be obscene or contain child pornography; (e) will not include false or inaccurate information about User or any other individual; and (f) will not contain any viruses or other computer programming routines that are anticipated to damage, destructively get in the way with, secretly intercept or expropriate any system, data or personal information.
By submitting any sort of User content to FreelancerCafe.com (including, but not limited to making your Account; submitting a resume, posting a profile, posting a portfolio, posting a Project; sending messages through or to FreelancerCafe.com). You hereby grant to FreelancerCafe.com a global, permanent, royalty-free license to use, copy, modify, display, and perform User content, under all User intellectual property and proprietary rights worldwide. For the avoidance of misconception, providing links to content hosted on servers other than that of FreelancerCafe.com (such as a portfolio of model works hosted on Your own web site) will not be considered "submitting" such content for purposes of this license grant.


 

USER LIMITAITONS

 

Advertising
Users are prohibited from advertising their websites on FreelancerCafe.com. Any URL posted in a bid, project description, or the message board, must relate to a project on FreelancerCafe.com. An example of a permitted URL: User's portfolio or resume' page.
Bidding
Freelance Service Providers can only place bids that equal the total amount of money they are requesting for the project. You are not allowed to place hourly bid or any type of abnormal bid.  This applies to Service Buyers too. Service Buyers cannot create projects that directly or indirectly necessitate Service Providers to place hourly or other abnormal bids. The only exception, for both Service Buyers and Service Providers, is when the project is featured. See featured project information at page.
Featured Projects
The following conditions are here to prevent violence of the rules of "Featured project" on FreelancerCafe.com. The maximum amount of money a Freelance Service Provider can receive for a Featured project, through the FreelancerCafe.com system, without being charged a fee, is $2,500. Any amount received above $2,500 will be subject to the regular fee of 10%. Note that this condition only applies to money received with the FreelancerCafe.com system; you can receive more than $2,500 for a single Featured project, without being charged a fee, if the payment is made outside of FreelancerCafe.com. If this condition applies to a payment you received on FreelancerCafe.com, you must notify us of the amount so that we can apply a 10% fee to the amount above $2,500. If you fail to notify us your account will be temporarily suspended.
Service Buyer agrees that:
(a)Service Buyer will not redistribute any of the content on FreelancerCafe.com. (b)Service Buyer will not use his/her Account to post false or misleading project descriptions. (c)Service Buyer will not post project descriptions that are inappropriate to FreelancerCafe.com's spectators, viewers, or visitors in the judgment of FreelancerCafe.com. (d)Service Buyer agrees to pay featured project fee if project will be posted as featured. (e)Service Buyer will not falsify his/her own or any other identity. (f)Service Buyer will observe all FreelancerCafe.com's policies.
Freelancer agrees that:
(a)Freelancer will not redistribute any of the content on FreelancerCafe.com. (b)Freelancer will not falsify his/her own or any other identity. (c)Freelancer will observe all FreelancerCafe.com's policies.
All users (Freelancers/Service Buyers) Restrictions
(a)Users will not use any automated collection mechanism or any manual process to watch or copy the web pages including the FreelancerCafe.com web site or the content enclosed without the prior written permission of FreelancerCafe.com. (b)Users will not dispense unsolicited commercial messages ("spam") through User's account.(c)Users will not contact Service Buyers or freelancers through our site or through information gained from our site with the intention of subverting them from using our services. (d)Users will not involve in personal attacks, negative or other unfair criticism or other forms of insolent and unprofessional online conduct or practices. (e)Users will not make multiple user accounts to avoid fees, termination or bad ratings on FreelancerCafe.com.


 

CONFLICT RESOLUTION

 

The conflict regarding arrangements between Freelancers and Service buyers remain solely between them. We are not involved in any transactions between you and any other users of FreelancerCafe.com. You acknowledge and agree that FreelancerCafe.com will not be a party to any such dispute or be compelled to take any action or refrain from taking any action toward resolving any such sort of conflict. If you have a conflict with any other users of the Site, you hereby release FreelancerCafe.com from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, related to such a conflict.
